PUBLIC OFFER AGREEMENT

1. General Provisions

1.1. This offer is an official proposal of TM "My Print" (hereinafter – "Seller") to conclude a distance sales contract, i.e., through the online store (hereinafter – "Agreement"). The Seller places this Public Offer (proposal) on its official website «[https://myprint.ua](https://myprint.ua)» (hereinafter – "Website").

1.2. The moment of full and unconditional acceptance by the Buyer of the Seller's offer (acceptance) to conclude an electronic contract for the sale of goods is considered to be the fact of the Buyer's order placement and/or payment under the terms of this Agreement, within the terms and at the prices indicated on the Seller's Website.

2. Concepts and Definitions

2.1. In this offer, unless the context requires otherwise, the terms below have the following meanings:

• "Product" — objects of the material world (models, accessories, components, consumables, and related items) offered for sale on the Seller's Website.
• "Online Store" — in accordance with the Law of Ukraine «On Electronic Commerce», a means for presenting or selling goods, works or services by means of an electronic transaction, located at [https://myprint.ua](https://myprint.ua).
• "Seller" — a company that sells goods presented on the TM "My Print" Website.
• "Buyer" — an individual or legal entity with full legal capacity who has concluded an Agreement with the Seller under the terms set forth below, by placing an order and/or paying for the product.
• "Order" — a properly placed request by the Buyer to purchase and deliver selected products presented on the Website.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer ownership of the Product to the Buyer, and the Buyer undertakes to pay for and accept the Product under the terms of this Agreement.

3.2. This Agreement regulates the sale of goods in the Online Store, including:

• voluntary selection of goods by the Buyer in the Online Store;
• independent placement of an order by the Buyer in the Online Store;
• payment by the Buyer for an order placed in the Online Store;
• processing and delivery of the order to the Buyer for ownership under the terms of this Agreement.

4. Order Placement Procedure

4.1. The Buyer has the right to place an order for any product presented on the Online Store's Website and available.

4.2. Each item can be represented in the order in any quantity.

4.3. In the absence of the ordered product in stock, the Company Manager is obliged to notify the Buyer (by phone or email).

4.4. In the absence of a product, the Buyer has the right to replace it with a product of an analogous model, refuse this product, or cancel the order.

5. Order Payment Procedure

5.1. Payment for the order is made by the Buyer using one of the available methods specified on the Website, including:

• Payment upon receipt (cash on delivery) at the transport company's office in cash or by cashless payment in hryvnia.
• Online payment by bank card through the payment system on the Website.
• Cashless payment according to the Seller's details.

5.2. If funds are not received or payment is refused, the Online Store reserves the right to cancel the order.

6. Order Delivery Terms

6.1. Delivery of goods purchased in the Online Store is carried out to the warehouses of transport companies or by courier delivery to the address specified by the Buyer when placing the order.

6.2. Along with the order, the Buyer is provided with documents confirming the fact of purchase (fiscal receipt, waybill, etc.) in accordance with the legislation of Ukraine.

7. Rights and Obligations of the Parties

7.1. The Seller has the right:

• To unilaterally terminate the provision of services under this Agreement in case of violation by the Buyer of the terms of this Agreement.
• To make changes to the assortment of goods, their prices, and the terms of this Agreement, by publishing the relevant changes on the Website.

7.2. The Buyer is obliged to:

• Timely and fully pay for and accept the order under the terms of this Agreement.
• Provide reliable information necessary for placing and delivering the order.

7.3. The Buyer has the right to:

• Place an order in the Online Store.
• Demand from the Seller the fulfillment of the terms of this Agreement.
• Return the product in accordance with the terms of Section 10 of this Agreement.

8. Liability of the Parties

8.1. The Parties are liable for non-fulfillment or improper fulfillment of the terms of this Agreement in the manner provided for by this Agreement and the current legislation of Ukraine.

8.2. The Seller is not responsible for:

• Changes in the appearance of the Product by the manufacturer that do not affect its functional properties.
• Slight discrepancies in the color scheme of the product, which may differ from the original product solely due to different color reproduction of personal computer monitors of individual models.
• The content and truthfulness of the information provided by the Buyer when placing an order.
• Delays and interruptions in the provision of Services (order processing and product delivery) that occur due to reasons beyond its control (force majeure circumstances, actions of third parties, etc.).
• Illegal actions committed by the Buyer using this access to the Internet.
• Transfer by the Buyer of their network identifiers - IP, MAC address, login and password to third parties.

8.3. The Buyer, using the Internet access provided to him, is solely responsible for the damage caused by his actions (personally, even if another person was under his login) to persons or their property, legal entities, the state or moral principles.

8.4. In case of force majeure circumstances, the parties are released from fulfilling the terms of this Agreement. Force majeure circumstances for the purposes of this Agreement mean events of an extraordinary, unforeseen nature that exclude or objectively hinder the fulfillment of this Agreement, the occurrence of which the Parties could not foresee and prevent by reasonable means.

8.5. The Parties make every effort to resolve any disputes exclusively through negotiations.

9. Other Terms

9.1. The Online Store reserves the right to unilaterally make changes to this Agreement, provided that it is previously published on the website [https://myprint.ua](https://myprint.ua).

9.2. The Online Store was created to organize the distance sale of goods through the Internet.

9.3. The Buyer is responsible for the accuracy of the information provided when placing an order. At the same time, by accepting (placing an order and subsequent payment for the product), the Buyer gives the Seller his unconditional consent to the collection, processing, storage, and use of his personal data, in the understanding of the Law of Ukraine «On Personal Data Protection».

9.4. Payment by the Buyer for an order placed in the Online Store means the Buyer's full agreement with the terms of the sales contract (public offer).

9.5. The actual date of the electronic transaction between the parties is the date of acceptance of the terms, in accordance with Art. 11 of the Law of Ukraine «On Electronic Commerce».

9.6. The use of the Online Store resource for preliminary viewing of goods, as well as for placing an order, is free for the Buyer.

9.7. The information provided by the Buyer is confidential. The Online Store uses information about the Buyer exclusively for the purpose of processing the order, sending messages to the Buyer, delivering goods, mutual settlements, etc.

10. Product Return Policy

10.1. Return Period:

• We accept returns of goods of proper quality within 14 calendar days from the date of their receipt by the Buyer, in accordance with the Law of Ukraine "On Consumer Rights Protection".
• For Google Merchant Center: For most products, we extend this period to 30 calendar days from the date of delivery, provided the product meets the return conditions.
• Exceptions: Goods that are not subject to exchange/return according to the List approved by the Resolution of the Cabinet of Ministers of Ukraine dated March 19, 1994, No. 172 (e.g., printed products, certain types of custom orders if they are of proper quality and are not defective). Any such exceptions will be clearly indicated on the product page.

10.2. Conditions for returning a product of proper quality:

• The product has not been used, shows no signs of use: scratches, chips, abrasions, and software has not been altered, etc.
• The product is fully complete and the integrity of the packaging is not compromised.
• All labels and factory markings are preserved.
• A settlement document (fiscal receipt, waybill) issued to the Buyer along with the sold product is available.

10.3. Proper Quality Product Return Process:

1. Notify our customer support of your desire to return within the specified period by sending an email to info@myprint.ua or calling +38 (093) 182-03-34, +38 (067) 830-54-54, +38 (095) 131-78-66.
2. Provide order information (order number, product name, reason for return).
3. Receive instructions for shipping the product.
4. Ensure proper packaging of the product for shipment to avoid damage during transportation.
5. The return of the product is at the Buyer's expense.

10.4. Refund for a product of proper quality:

• After receiving and inspecting the product by the Seller, the Online Store returns the money paid for the product to the Buyer within 7-10 business days from the date the Seller receives the product.
• The refund is made to the bank card from which the payment was made, or to another account specified by the Buyer.
• When returning a product of proper quality, the Online Store returns the amount paid for the product minus the actual costs of the Online Store for delivering the product to the Buyer (if delivery was not free).

10.5. Return and Exchange of Defective or Improperly Delivered Goods:

• If you receive a product that is damaged, defective, or does not match your order, please contact us immediately upon receipt (within 24 hours).
• Provide photo or video evidence of the defect/discrepancy.
• In such a case, the return or exchange of the product is at the Seller's expense. We cover the cost of return shipping.
• After confirming the improper quality of the product, we will offer you a replacement product, defect elimination, or a full refund. The refund is made within 3-5 business days from the date of receipt and inspection of the defective product.

10.6. Exchange Procedure:

• If you wish to exchange a product (e.g., for a different size/color or another product), please contact our customer support. We will check the availability of the desired product and provide instructions. Exchange is carried out provided that the rules for returning a product of proper quality (clause 10.2) are observed.

11. Term of the Agreement

11.1. The electronic agreement is considered concluded from the moment the person who sent the offer to conclude such an agreement receives a response about the acceptance of this offer in the manner determined by part six of Article 11 of the Law of Ukraine "On Electronic Commerce".

11.2. Before the expiration of its term, this Agreement may be terminated by mutual agreement of the parties until the actual delivery of the goods, by returning the funds.

11.3. The parties have the right to terminate this Agreement unilaterally in case of non-fulfillment by one of the parties of the terms of this Agreement and in cases provided for by the current legislation of Ukraine.

Please note that the online store «Myprint.ua» on its official website (https://myprint.ua) has the right, in accordance with the legislation of Ukraine, to grant the right to use the internet platform to individual entrepreneurs and legal entities for the sale of goods.
